Important – these general terms and conditions of services ("Terms") shall apply for all users and visitors of https://www.lexdigi.id. By visiting and/or using LexDigi and/or the LexDigi Services (as defined below), you agree that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy including their amendments and/or additions from time to time.

If you are using LexDigi and the LexDigi Services as the employee or agent of a company or an organization, you represent and warrant that you are the authorized person of that company or organization or authorized to represent that company or organization, and you are agreeing to these Terms on behalf of that company or organization.

If you do not understand nor agree to any part of these Terms, then you shall not use LexDigi or any of the available Services, and delete your account (if you have signed up for the LexDigi Services).

These Terms may be changed, amended, supplemented, and/or modified from time to time without any prior notice to you. You agree and assume the responsibility to check these Terms periodically.

https://www.lexdigi.id, including all of its features and contents (as defined below) is an autonomous legal compliance platform designed for Indonesian limited liability companies, which is provided and maintained by PT Lexgo Karya Indonesia, a limited lability company duly established under the laws of the Republic of Indonesia, having its domicile at South Jakarta, DKI Jakarta, Indonesia.

The terms "LexGo", "we", "our" and "us" mean PT Lexgo Karya Indonesia, including its subsidiaries, Affiliates, shareholders, directors, commissioners, officers, Employees, Advisors, Vendors, representatives and agents.

The terms "User", "you", and "your" refer to any person, company or organization that has visited or is using LexDigi, LexDigi Content and/or the LexDigi Services.

DEFINITION
Account

means a User's account that is registered in our system to use LexDigi Content and/or the LexDigi Services.

Affiliate

means with respect to a person, any other person controlling, controlled by or under common control with such first person. The term "control" (including, with correlative meaning, the terms "controlled by" and "under common control with"), as used with respect to any person, shall mean the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of such person, whether through the ownership of voting securities, by contract or otherwise.

Advisor

means any financial, marketing, tax, information technology, or other advisors engaged by LexGo in connection with LexDigi, the LexDigi Services and/or LexDigi Content.

Content

means LexDigi Content, User Content and LexDigi Partner Content.

Employee

means any employee of LexGo or its Affiliates.

Government Authority

means any central, provincial, state, municipal, county or regional governmental or quasi-governmental instrumentality, and includes any ministry, department, commission, bureau, board, court, administrative or other agency or regulatory body thereof having the authority to govern.

Laws and Regulations

means any laws, regulations, decrees or policies having the force of law including subordinate legislation, requirements and guidelines of any Government Authority with which a party is legally required to comply.

LexDigi

means a technology-based platform with a cloud-based data storage (including its software, tools, features, buttons and widgets) that empowers Users to use, access, create, share, safekeep and monitor any present or future Contents, available at or through https://www.lexdigi.id, including all of its subpages and subdomains.

LexDigi Content

means any information, data or materials (including features, tools, forms and templates) of LexDigi, which are uploaded, stored, posted, created, written, provided or otherwise made available by LexGo for the Users.

LexDigi Services

means the services made available by LexGo for the Users by utilizing LexDigi, which includes its supporting services, among others, legal secretarial services, data storage services, liaison services (in connecting Users with LexDigi Partners), and the development of white label solutions (such as customizable personal website with own logo and domain as well as partner-level dashboard) and legal services supporting tools and any other non-legal services supporting tools services (to support LexDigi Partner in carrying out their respective LexDigi Partner Services).

LexDigi Partner

means any attorney, notary or any other LexDigi Partners of LexGo who are not legal service providers.

LexDigi Partner Content

means any information, data or materials uploaded, stored, posted, created, written, provided or otherwise made available by any LexDigi Partner in LexDigi or as part of the LexDigi Partner Services.

LexDigi Partner Services

means any service provided by any LexDigi Partner to Users as may be stated or described in the relevant LexDigi Partner Content.

Privacy Policy

means LexGo's Privacy Policy which applies to all Users, as may be amended from time to time.

Subscription Fees

means the fees payable by a User for using certain Services and/or LexDigi Content, which from time to time may be subject to change based on the sole discretion of LexGo.

Third Party Communications

means any communications between you and any third party whether directly or indirectly on or through the LexDigi Services.

User

means any person who visits or uses LexDigi, the LexDigi Services and any of the Contents, whether on behalf of a company or organization or for personal use. For the avoidance of doubt, the term “User” shall also include the LexDigi Partners in the context of those LexDigi Partners accessing or using LexDigi, LexDigi Content and/ or the LexDigi Services.

User Content

means any information, data or materials (including information about any User) uploaded, submitted, stored, posted, sent, received, created or written by a User in LexDigi or through the LexDigi Services. For the avoidance of doubt, the term “User Content” shall also include the LexDigi Partner Content.

Vendor

means any person, company or organization engaged by LexGo to provide goods and/or services in connection with LexDigi, the LexDigi Services and/or LexDigi Content.

LEXGO

LexGo is not a law firm and may not perform services performed by an attorney. LexGo does not offer any legal representation, legal advice, legal opinions, legal recommendations, or legal counseling services. LexDigi Content and the LexDigi Services are not a substitute for any advice or services of an attorney. LexGo strives to keep LexDigi Content accurate, complete and up-to-date. However, because the Laws and Regulations change rapidly, LexGo cannot guarantee that all LexDigi Content is correct, complete or up-to-date.

LexDigi Content and the LexDigi Services are not, and shall not, in any way be construed as, legal advice. We do not, and do not undertake to, review any User Content (including LexDigi Partner Content) for legal accuracy or sufficiency, draw legal conclusions, provide opinions about your selection or use of any LexDigi Content or LexDigi Services, or apply the law to the facts of your situation. If you need legal advice for your specific issue, you should consult with a licensed attorney. Neither LexDigi Content nor the LexDigi Services is a substitute for legal advice from a qualified attorney licensed to practice in an appropriate jurisdiction.

Your use of any LexDigi Content and the LexDigi Services is not intended to, and does not, create an attorney-client relationship between you and LexGo. Any communications between you and LexGo may not be protected as privileged communications under the attorney-client privilege.

LEXDIGI ACCOUNT
Creating and Using Account

You can only use the LexDigi Services once you have registered with us. You will also be asked to provide a username and password. Upon successfully registering (including passing our know your customer requirements), LexGo will provide you with an Account that can be accessed with user name and password you choose. You are fully responsible for maintaining the confidentiality of your password, and for the activity that happens on or through your Account.

By creating an Account, you agree to represent and warrant to us, that:

  • you have the authority to, and are at least 21 (twenty one) years old or any other legal age in your jurisdiction to, bind yourself (or the company or organization, if you are representing a company or organization) to these Terms; and

  • all information and documents you submitted in the registration process are accurate, complete and up-to-date (and there is no fraud).

You may not use a third party's Account, username or password at any time. You agree to notify LexGo immediately of any unauthorized use of your Account or password. LexGo shall not be liable for any losses you incur as a result of someone else's use of your Account or password, either with or without your knowledge. You may be held liable for any losses incurred by LexGo due to someone else's use of your Account or password.

Consent to Receive Emails

By creating an Account, you agree that you may receive communications from us, such as newsletters, special offers, notifications, account reminders and updates.

Suspension and Termination of Account

You understand and agree that LexGo reserves the rights, in its sole discretion, to suspend, terminate, or close your Account for any reason and at any time without prior notification and/or your approval. Such suspension, termination, or closing of your Account may be conducted by LexGo under certain conditions. Some examples of these conditions are: (i) breach of these Terms; (ii) late subscription/fee payment; (iii) there is an indication of violation to the Laws and Regulations; (iv) there is an indication of any infringement against LexGo’s or any third party’s intellectual property rights; and (v) based on your request to us.

If LexGo elects to suspend, terminate or close your Account, LexGo will provide you with notice at your registered email address. You understand and agree that upon the termination or closing of your Account, we have no obligation whatsoever to store or recover your User Content or any data or information associated with your Account.

LexGo also reserves the right to modify or discontinue, either temporarily or permanently, any part of the LexDigi Services with notice. You agree that LexGo will not be liable to you or to any third party for any modification, suspension or discontinuance of any of the LexDigi Services to you.

You acknowledge that your obligations under these terms remain valid irrespective of the termination of Account.

USE OF SERVICES
No Unlawful or Prohibited Use

You can only use the LexDigi Services if they do not conflict with or violate the Laws and Regulations of your jurisdiction(s). The availability of the LexDigi Services in your jurisdiction(s) is not an invitation or offer by LexGo to access or use LexDigi and/or LexDigi Services. By using the LexDigi Services, you accept sole responsibility that your use of or access to LexDigi, the LexDigi Content and/or LexDigi Services does not violate any Laws and Regulations in your jurisdiction(s). To enforce this provision, LexGo reserves the right to refuse membership, or suspend or terminate your Account immediately and without prior notice at LexGo’s sole discretion.

Limitation on Use

In using the LexDigi Services, you agree not to or attempt to:

  • use LexDigi and/or the LexDigi Services in any way violating any Laws and Regulations;

  • provide a false, inaccurate, misleading, and incomplete information or documents;

  • create, make, alter, modify, engineer, and/or upload a false, offensive, unlawful, misleading, and inaccurate information or documents to or through the LexDigi Services;

  • in any manner use the LexDigi Services nor the LexDigi Content which is unlawful, offensive, threatening, pornographic, racist, fraudulent, infringes any third party’s right, and/or against propriety;

  • transmit, transfer, or broadcast any false, misleading, fraudulent or illegal communications or documents;

  • impersonate any other User or any other party;

  • unlawfully access any other User’s Account without permission, right, or authority;

  • make a copy, modify, distributes, and/or transmits any documents or information as may be saved in LexDigi without right, authority, and capacity from the legal owner or authorized party;

  • infringe intellectual property rights (e.g.: copyrights, patents, trademarks, etc.) of LexGo or any third party;

  • upload any viruses, documents and/or data infected by virus, and/or malware which can harm or disturb LexDigi and/or the LexDigi Services;

  • interfering with or disrupting the operation of LexDigi or servers or networks connected to LexDigi, including posting, submitting, transmitting, uploading or otherwise making available any material that contains software viruses, worms or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;

  • creating a mirror of LexDigi or part of the LexDigi, or systematically downloading and storing any Content;

  • unlawfully carries out interception or wiretapping of any information, data, and documents; and

  • breach these Terms or our Privacy Policy, including their amendments and/or additions.

LexGo reserves the rights, in its sole discretion, to hide, remove, delete and block any Content, and/or any other action LexGo deemed necessary if there is an indication of violation to the above-mentioned limitation.

User Content and Sharing User Content

You may upload, submit, store, post, send, receive, create or write User Content to or through the LexDigi Services. You are solely responsible for the content of, and any harm resulting from, any User Content that you upload, submit, store, post, send, receive, create or write to or through the LexDigi Services, regardless of the form of that content. Any liability, loss or damage that occurs as a result of the use of any User Content that you make available or access through your use of the LexDigi Services is solely your responsibility.

You represent and warrant that you have the right and authorization to upload, submit, store, post, send, receive, create or write all User Content to or through the LexDigi Services. Specifically, you warrant that you have fully complied with any third party licenses relating to User Content.

You retain all ownership of, control of, and responsibility for User Content you post upload, submit, store, post, send, receive, create or write to or through the LexDigi Services.

Solely to allow LexGo to use User Content you upload, submit, store, post, send, receive, create or write to or through the LexDigi Services reasonably without violating any rights you have in it, you expressly grant LexGo a worldwide, sublicenseable, fully-paid and royalty-free, and non-exclusive license to use the User Content in connection with the LexDigi Services and/or the LexDigi Partner Services. This license does not grant LexGo the right to sell User Content or otherwise use the User Content other than in connection with the LexDigi Services and/or the LexDigi Partner Services. This license will terminate at the time when the User of the User Content is no longer a User or when the User Content is removed from LexDigi and/or the LexDigi Services.

Sharing settings in LexDigi allow you to control what other Users can do with your User Content in LexDigi. By default, you are set up as the manager or controller of all your User Content. You can share your User Content to other Users.

When you share your User Content with any other Users: (a) LexGo shall not be liable for any losses you incur as a result of the other Users’ use of your User Content, either with or without your knowledge; and (b) you may be held liable for any losses incurred by LexGo due to the other Users’ use of your User Content.

You acknowledge and agree that LexGo may preserve your User Content as well as disclose them if required to do so by Laws and Regulations or in the good faith belief that such preservation or disclosure is reasonably necessary to accomplish any of the following: (1) to comply with legal process, Laws and Regulations or Government Authority’s requests; (2) to enforce these Terms; (3) to respond to claims that a content violates the rights of third parties; or (4) to protect the rights, property, or personal safety of LexGo, other Users or the public. You understand that the technical processing and transmission of the LexDigi Services, including your User Content, may involve transmissions over various networks and changes to conform and adapt to technical requirements of connecting networks or devices. You agree that LexGo has no responsibility or liability for deleting or failing to store any content maintained or uploaded in LexDigi or that is related to the LexDigi Services.

Third Party Communications

During use of the LexDigi Services, you may have an interaction with any third party (including the LexDigi Partners) such as live chats, question and answer, and other message services. Such Third Party Communications with any third party is solely between you and such third party. LexGo disclaims any liability arises from all Third Party Communications or any other actions resulting from such Third Party Communications. You acknowledge and agree that LexGo does not responsible for any losses, damages or claims that may arise from such Third Party Communications. You acknowledge and understand that LexGo has no obligations nor responsibility to verify, and identify the quality, accuracy, and trustworthiness of the source or content of any Third Party Communications.

Although LexGo has no obligation to monitor any Third Party Communication, we reserve the right, in our own discretion, to review and remove materials posted in LexDigi resulted from a Third Party Communication, in whole or in part. LexGo reserves the right to disclose any materials, information or activity, as necessary to satisfy any Laws and Regulations, legal process, or Government Authority’s request.

LexDigi Partners and LexDigi Partner Services

When you use LexDigi Content or LexDigi Services, LexGo may enable you to connect with the LexDigi Partners of your choice. You understand that LexDigi Partners are not Employees, Advisors, Vendors, or agents of LexGo. The LexDigi Partners are third party service providers and solely responsible for the LexDigi Partner Services they provide, the LexDigi Partner Content and the representations they make about themselves.

We do not investigate, verify or warrant the accuracy of any information (including LexDigi Partner’s profile) contained in the LexDigi Partner Content.

We do not make any warranty, guarantee, or representation as to the ability, integrity, reliability, competence, quality, or qualifications of any LexDigi Partner or LexDigi Partner Services. LexGo does not warrant or guarantee that the LexDigi Partners and the services that they provide are covered with any insurance. LexGo encourages Users to research any LexDigi Partner before accepting the LexDigi Partner Services. At no point shall LexGo be held liable for the actions or omissions of any LexDigi Partner performing LexDigi Partner Services for you.

Even though LexGo may receive commissions from the LexDigi Partners for any fees generated from the LexDigi Partner Services (or vice versa), LexGo will not influence or interfere in any way with any LexDigi Partner’s independent judgment. You understand that the LexDigi Partners reserve their rights to refuse to perform any LexDigi Partner Services for you or on your behalf.

We provide a number of methods by which you engage a LexDigi Partner to provide LexDigi Partner Services. Although some of these methods involve LexGo processing a transaction on your behalf, in all instances, LexGo is simply the intermediary in such transactions. You are liable for paying the LexDigi Partners for the LexDigi Partner Services provided (whether through us or directly to the LexDigi Partners). LexGo has no liability for paying the LexDigi Partners other than as an agent on your behalf. The fees you pay for such LexDigi Partner Services are charged by the LexDigi Partners and passed through to the LexDigi Partners once the LexDigi Partner Services have been rendered.

You understand and agree that LexGo may share certain personally identifiable information of you with the applicable LexDigi Partners for the purposes of the LexDigi Partners to contact you or to render LexDigi Partner Services to you.

LEXDIGI SERVICES
Grant of License

Subject to your compliance with these Terms, you are hereby granted a non-exclusive, limited, nontransferable, revocable license, to use the LexDigi Services as we intend for them to be used.

As a registered User of LexDigi Services, you are licensed to keep for your own personal records, electronic or physical copies of documents you have uploaded or created on or through the LexDigi Services. Any rights not expressly granted by LexGo pursuant to these Terms are reserved by LexGo.

Services and Subscription Fees

You acknowledge that certain LexDigi Services and/or LexDigi Content may not be available to you unless you subscribe to that certain type of Services and/or LexDigi Content, which may now or in the future be subject to Subscription Fees. You further agree and acknowledge that any terms presented to you in the process of using or subscribing to such Services and/or LexDigi Content are deemed to be a part of these Terms.

Your access to certain LexDigi Services and/or LexDigi Content will only be activated after you complete and provide all the required mandatory data and documents (including those related to know your customers) and settling the payment of the Subscription Fees in timely manner. You acknowledge that the Subscription Fees may be vary depending on the role, features and services package, payment method and availability for any special offers that may be made available from time to time. The Subscription Fees are final, non-transferable and payable in advance. Unless expressly stipulated otherwise, the Subscription Fees and any other applicable fees are non-cancelable and non-refundable.

You agree to settle the applicable Subscription Fees without any deduction or withholding on account of taxes or other charges of any nature. If a deduction or withholding is required, you will be responsible for paying such additional amount as is necessary so that we receive the full amount of the applicable Subscription Fees.

You agree to provide and maintain true, accurate and current payment information with a valid payment method. You agree to be responsible for any uncollected amounts due to failure of payment settlement, including by reason of insufficient funds or expiration of credit card. Upon LexGo’s receipt of your Subscription Fees in full, LexGo will send you an email notifying such receipt and the effective date of the LexDigi Services you subscribed. Your subscribed Services will not be activated or LexGo may suspend your access to your subscribed Services until such time LexGo receives payment of your Subscription Fees in full. By submitting your payment information, you authorize LexGo to provide that information to third parties for purpose of facilitating the payment. You must ask permission of the credit or debit card holder before entering the payment details, if you are not using your own credit or debit card to pay for the Subscription Fees. LexGo shall assume that you have obtained an express prior permission if such credit or debit card that you are using to settle the payment is not owned by you.

In the event LexGo in its sole discretion determines that you are not qualified to register to certain LexDigi Services, you agree that LexGo may reject your registration to such Services. Your Subscription Fees, if already paid, will be refunded following our rejection notification. You understand that we reserve all rights to establish any standard or criteria on any information or documentation required to determine whether or not you are qualified to subscribe to any LexDigi Services. You agree and acknowledge that all determinations made by us pursuant to the above are final.

You agree that we may discontinue the provision of LexDigi Services to you if before the end of your current subscription period you fail to renew your subscription and settle the Subscription Fees for the subsequent subscription period.

You acknowledge and understand that we do not provide refund or fund transfer for any cancelation or termination of the LexDigi Services that you subscribed to before the relevant subscription period of such LexDigi Services has ended.

You understand that LexGo may from time to time change the price or provide trials and special offers that may result in different amounts charged for certain Users. You agree and accept the price changes by continuing to use the LexDigi Services you subscribed to. Price changes will take effect at the start of the next subscription period following the date of the price change.

Changes to Services

We are constantly changing and improving the LexDigi Services and/or LexDigi Content. We may make performance or security improvements, change functionalities or features, or make changes to comply with Laws and Regulations or to prevent illegal activities on, or abuse of, our systems. We will provide reasonable prior notice by email (or other adequate form of notice) of material changes to the LexDigi Services and/or LexDigi Content that we reasonably believe will adversely impact your use of the LexDigi Services, substantially. However, there are times when we will need to make changes to the LexDigi Services and/or LexDigi Content without giving notice.

You agree and acknowledge that LexGo is entitled to modify, improve or discontinue any of the LexDigi Services and/or LexDigi Content at its sole discretion even if it may result in temporary interruptions or you are being prevented from accessing any information contained in it.

Subscription Fee Increase

We will give you at least 30 days’ prior notice by email (or other adequate form of notice) of a Subscription Fee increase before you are charged. If you are given less than 30 days prior notice, the change will not apply until the payment when your next Subscription Fee is due. If you do not wish to continue with the updated Subscription Fee, you may cancel or downgrade your subscription to the LexDigi Services. Your cancellation or downgrade will apply to the next billing period after the current applicable term of the LexDigi Services that you subscribed to is ended.

INTELLECTUAL PROPERTY RIGHTS

Except stipulated otherwise in these Terms, nothing in the LexDigi Services, LexDigi, LexDigi Content, LexDigi Partner Services and/or LexDigi Partner Content shall be construed as conferring on you or any third party any license or right, by implication or otherwise, under any Laws and Regulations including, without limitation those related to copyright or other intellectual property rights.

You acknowledge and agree that the LexDigi Services, LexDigi, LexDigi Content, LexDigi Partner Services and LexDigi Partner Content, respectively, may contain proprietary and confidential information including copyrights, trademarks, and patents protected by applicable intellectual property law. All right, title and interest in and to the materials provided on the LexDigi Services, LexDigi, LexDigi Content, LexDigi Partner Content and LexDigi Partner Services, including but not limited to information, documents, logos, graphics, sounds and images are owned either by LexGo, the LexDigi Partners or the Vendor. None of the LexDigi Content, the LexDigi Partner Content or any of the Vendor’s may be copied, reproduced, republished, downloaded, uploaded, posted, displayed, transmitted or distributed in any way and nothing on the LexDigi Services, LexDigi, LexDigi Content, LexDigi Partner Services and LexDigi Partner Content shall be construed to confer any license under any of LexGo's or LexDigi Partner's or Vendor’s intellectual property rights. Any third-party trademarks, service marks and logos are the property of their respective owners. Any further rights not specifically granted herein are reserved by LexGo.

Further, for the avoidance of doubt, these Terms concerning intellectual property rights also applicable to a LexDigi Partner in its capacity as a User of LexDigi and the LexDigi Services for the purposes of creating its LexDigi Partner Content and/ or in delivering its LexDigi Partner Services, whereby LexDigi Partners agree and acknowledge that nothing in the LexDigi, LexDigi Services and/or LexDigi Content shall be construed as conferring on the LexDigi Partner, its Affiliates or any third party any license or right, by implication or otherwise, under any Laws and Regulations including, without limitation those related to copyright or other intellectual property rights. All right, title and interest in and to the materials provided on the LexDigi, LexDigi Services and LexDigi Content, including but not limited to information, documents, logos, graphics, sounds and images are owned by LexGo. None of the LexDigi Content may be copied, reproduced, republished, downloaded, uploaded, posted, displayed, transmitted or distributed in any way, and any further rights not specifically granted herein are reserved by LexGo.

PRIVACY POLICY

Connection with the use of LexDigi, LexDigi Content and the LexDigi Services, you may be asked to provide personal information in a questionnaire, application, form or similar document or service. This information will be protected pursuant to our Privacy Policy. In addition, you grant LexGo a worldwide, royalty-free, non-exclusive, and fully sublicensable license to use, distribute, reproduce, modify, publish and translate this personal information solely for the purpose of enabling your use of the applicable the LexDigi Services (including, as the case may be, the LexDigi Partner Services). You may revoke this license and terminate rights held by LexGo at any time by removing your personal information from the applicable service.

In our Privacy Policy, we explain how we treat your personal data and protect your privacy when you visit, access, view or use LexDigi, LexDigi Content and/or the LexDigi Services (including, as the case may be, the LexDigi Partner Services). You represent that you have read and fully understand the contents and consequences of our Privacy Policy, and you irrevocably agree and accept to be bound by the terms and conditions of our Privacy Policy.

INDEMNIFICATION

You agree to defend, indemnify and hold harmless LexGo from and against any claims, damages, costs, liabilities and expenses (including, but not limited to, reasonable attorney's fees) arising out of or related to any Content you use, store or otherwise transmit on or through the LexDigi Services or your use of or inability to use the LexDigi Services (and as the case may be, the LexDigi Partner Services, including without limitation any actual or threatened suit, demand or claim arising out of or relating to the Content, your conduct, your violation of these Terms or your violation of the rights of any third party.

DISCLAIMER AND LIMITATION OF LIABILITY
Disclaimer

You understand and agree that the LexDigi Services, LexDigi and LexDigi Content are provided “as is” and “as available”. To the fullest extent permitted by Laws and Regulations, LexGo does not make any express or implied warranties, endorsements or representations whatsoever as to the operation of the LexDigi Services, LexDigi or LexDigi Content. This shall include, but not be limited to, implied warranties of merchantability and suitability for a particular purpose and non-infringement, and warranties that access to or use of the LexDigi Services, LexDigi or LexDigi Content will be uninterrupted or error-free or that defects in the LexDigi Services, LexDigi or LexDigi Content will be corrected. You also understand that your internet connection, internet security program, browser selection and other factors could also affect the performance of LexDigi.

Limitation of Liability

To the fullest extent permitted by Laws and Regulations, in no event shall LexGo be liable for any form of damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the LexDigi Services, LexDigi, LexDigi Content, LexDigi Partner Services or the LexDigi Partner Content; (b) any conduct or content of any third party relating to the LexDigi Services, LexDigi or LexDigi Content; (c) unauthorized access, use or alteration of any Content; or (d) any other matter that was not caused by our breach of these Terms. To the extent permitted by Laws and Regulations, the total liability of LexGo for any claim resulting from its breach of these Terms, is limited to the amount you paid to Lexgo to use the LexDigi Services.

DISPUTE RESOLUTIONS
Mediation

You agree that all disputes, controversies or claims (including tort claims) arising out of or in connection with these Terms, the LexDigi Services, validity or termination or the legal relationships established between the parties ("Dispute"), the parties shall attempt for a period of 60 days after the receipt by one party of a written notice from the other party of the existence of the dispute, to settle such Dispute in a mediation to reach amicable settlement.

Arbitration

In the event amicable settlement cannot be reached within mediation period above, you agree that the Dispute shall be finally settled by arbitration in accordance with the arbitration rules and procedures of the Indonesian National Arbitration Board (Badan Arbitrase Nasional Indonesia – "BANI") for the time being in force, which rules are deemed to be incorporated by reference in this clause. The arbitration shall be before 1 (one) arbitrator appointed pursuant to the arbitration rules and procedures of BANI. The place of the arbitration shall be Jakarta and the language of the arbitration shall be Indonesian language.

MISCELLANEOUS
Governing Laws

These Terms are governed by and are to be construed in accordance with the laws of the Republic of Indonesia.

Language

These Terms are made in English and Indonesian language. In the event of any inconsistency or conflict between the two language versions, you agree that the Bahasa Indonesia version shall prevail to the extent of such inconsistency or conflict, and the English language version shall be deemed to be automatically amended to be consistent with the Bahasa Indonesia version.

Entire Agreement

These Terms constitute the entire agreement between you and LexGo with respect to the subject matter of these Terms, and supersede and replace any prior version of the Terms.

Waiver, severability, and assignment

Our failure to enforce a provision of these Terms is not a waiver of its right to do so later. If any provision of these Terms is found unenforceable, the remaining provisions of the Terms will remain in full effect and an enforceable, and the Term or Terms that are found unenforceable will be substituted reflecting our intent as closely as possible. You may not assign any of your rights under these Terms, and any attempt to do so will be void.

We may assign our rights to any of our Affiliates or subsidiaries, or to any successor in interest of any business associated with the LexDigi Services.
